Terms & Conditions for SEO Services Packages


These Terms and Conditions govern the use of the SEO Services Packages offered by Website Marketing Solutions (“WMS”).

These include:

  • Monthly SEO Accelerator Package
  • Boost Your Website's Power Package
  • Essential Digital Toolkit

By subscribing to any of these packages, you ("the Client") agree to comply with and be bound by these Terms, which outline both your rights and your obligations when using our services. These Terms form a legally binding agreement between you and Website Flipping Club.

Subscription Plans and Payments

Payment is due at the start of each billing cycle. Services are contingent upon timely payment. There are no Long-Term Contracts – participants may cancel anytime.

Services Provided

  • Monthly SEO Accelerator Package: Monthly keyword analysis, strategic backlinking, and cyclical growth mechanisms.
  • Boost Your Website's Power Package: Keyword optimization, backlink creation, and domain rating improvement.
  • Essential Digital Toolkit: Access to domain hunting, keyword organizing, and SEO monitoring tools.

Client Responsibilities

Clients must:

  • Provide accurate contact and domain information.
  • Ensure their website complies with all applicable laws.
  • Provide access to necessary platforms for SEO implementation.

Cancellation and Refund Policy

Subscriptions can be cancelled at any time. Paid amounts are non-refundable except where Website Flipping Club has failed to commence the services.

Limitation of Liability

Website Flipping Club shall not be liable for any indirect or consequential damages resulting from the use or inability to use the services.

Amendments to Terms

Website Flipping Club reserves the right to amend these Terms at any time. Changes will be posted online and are effective upon posting.

Acceptance of Terms

Using the services indicates acceptance of these Terms.

Clients should review and accept these Terms upon subscription. Continued use of the service constitutes acceptance of any changes to these Terms and Conditions.

Terms and Conditions for Participation in the Website Funding Club (WFC) and/or Constant Traffic Flow (CTF) projects.

1. Acceptance of Terms

By participating in either the Website Flipping Club (WFC) or Constant Traffic Flow (CTF), you agree to the terms and conditions outlined in this document. Please read these terms carefully and/or get the advice of legal counsel before making any financial commitments.

Website Marketing Solutions, offers two distinct project models:

  • Website Flipping Club: This model involves participants (hereafter referred to as "Project Funders" or “Funders”) providing the funds needed for us to create one or more websites, with the objective of letting us develop them and then resell them at a profit. Investors acknowledge the speculative nature of website flipping and agree to the terms outlined in this Agreement (the “Terms”.)
  • Constant Traffic Flow (CTF): This model is designed for business owners or individuals who wish to have a website built to enhance their own business operations. Websites built under the CTF model are intended for long-term use by the owner and are not meant for resale. Participants in the CTF acknowledge that their investment is for the creation and maintenance of a website to boost their business's digital presence. WMS may or may not receive commissions from activities regarding these CTF websites, as agreed upon with the project funder in each case.

Note: it’s traditionally better to make room for WMS to obtain commissions from a project, because if we’re vested, we have more room to work the project more intensely, and therefore to make the project more profitable for the owners.

  • CTF Project Funders will retain 100% of the sales revenue generated by their project.
  • CTF participants will pay a nominal $500 annual fee for the renewal of the domain(s), hosting, server tech support, and theme improvement retainer.
  • There are no contracts for CTF participants, and they are free to cancel at any time.

As a member of the Website Flipping Club, you are funding a specific project, but you are also assigned to a diversified portfolio of projects spanning multiple industries and cities, both large and small. This diversity is a key strength of our model. Our approach allows us to monitor the performance across various sectors and geographies, identifying successful strategies and trends. The process of learning from diverse projects and applying successful tactics broadly across the club's portfolio offers long-term advantages, enhancing the overall stability and profitability of investments made within the club.

3. Cross-Pollination of Results:

We leverage the data and insights gained from successful projects to replicate success in similar scenarios. If a particular industry in one city is performing well, we can initiate copycat projects in other cities with similar market sizes. This method enhances the probability of success for new and ongoing projects by applying proven strategies across different locations and sectors.

4. Dynamic Allocation:

Our dynamic project allocation system is designed to maximize the benefits for all club members. As results from various projects become available, we are agile in reallocating resources and focus to the areas yielding the best outcomes. This flexibility is a significant advantage, ensuring that all members benefit from the collective success of the club.

This strategic approach not only supports individual project success but also enhances the overall stability and profitability of investments made within the club.

By participating in the Website Flipping Club, you are part of a thriving ecosystem where each project's success contributes to and informs the success of others. This collaborative advantage is central to our commitment to maximizing returns that include all members over time.

6. Risk Acknowledgment

Participants acknowledge that investment in the Website Funding Club (WFC) involves material risk. While we have a history of successful project execution and lead generation, the possibility of financial loss cannot be completely eliminated. Funds paid into the system are utilized immediately for project development and are non-refundable. Participants must understand that past performance is not indicative of future results, and that all projects do not pay the same, and cannot be made to do so.

Website Marketing Solutions, LLC does not guarantee profits for any participant within any particular timeframe. The success of web projects and lead generation systems depends on many factors that are beyond our control. While we use advanced strategies and technologies to maximize potential returns, profits cannot be assured. However, we have many safeguards in place to mitigate risk and drive rewards for our participants (“Funders”) – see that list below.

Having said that, we have many years of experience, and our systems and SEO prowess, as well as public results have allowed us to continue developing extreme efficiency: We are able to create up to 200 unique website projects per week, and we have developed enough automation to consistently adjust and improve all of those websites extremely efficiently.

We have also created extremely profitable lead-based systems in the past, for our biggest clients. Now we are doing it both for ourselves, and for our general members. Separately, we have created websites that draw in affiliate payments, as well as websites for dispatchers/partners, and we are now beginning the process of building websites to “flip” (sell) on common public platforms or to interested companies/parties/investors.

7. Safeguards

We have put multiple safeguards in place, such that we believe that this project is “too big to fail.”

We employ various safeguards and mitigation strategies to enhance the success probability of our projects. These include:

  • Allocation of positions based on metro and industry analysis to minimize competition among participants.
  • Redistribution of participants from underperforming to better-performing projects where possible.
  • Utilization of a secondary tier of projects as a safety net to support primary project operations.
  • Dynamic management of web content and layout to improve competitive positioning.
  • Transparent sharing of lead-generated revenue with participants.

Despite these measures, participants must recognize that the complete elimination of risk is not possible. To buffer against such risk: participants remain in the WFC with no further payment required while we continue the work needed to create material profits for all involved.

8. Risk Mitigation Strategies

Many Positions are based on [metro + industry] combinations, usually for the purpose of generating leads that contact companies via phone, email, form, live chat, etc. For instance: Chicago Roofing, Minneapolis Public Adjusters, and Dallas Real Estate Agents. Participants may choose to add to their ‘Portfolio of Positions’ by funding new projects at any time, for as long as WMS keeps the WFC open. Profits from these are generated through some combination of lead sales, AdSense Revenue, Banner Ads, and eventually the flipping of that website.

Example Mitigation Strategy: Let’s say there are 3 Funders, each paying us to create one of those 3 positions above. So we launch those 3 projects. After a while, let’s say it becomes evident that 2 of those Positions are doing well, but one of them is failing. As a result, WMS (the “House”) is able to move the Funder with the failing Position into one of the industries that is doing well, but in a different metro area so that their Position will do well without competing with either of the other 2 Funders. Because Funders buy projects in different industries, we are able to quickly identify the best options and switch losing Funders into those same industries, but other metro areas (that do not compete with the original Funders.) The larger the batch of Funders who buy in over time, the more it ensures the success of ALL Funders.

Separately, when you make the payment for your project (your “Position”), a portion of your payment goes towards extending an undercurrent of Tier 2 projects that cover up to 87 industries across the USA. That Tier 2 is a new addition to the WPC. It will be developed and used as a safety net for generating additional house profits, from which we are able to pull, to assign Positions or direct Revenue to any Funder(s) whose Positions are not performing as well as other Positions.

Since each new Funder’s payment includes payment towards extending the Tier 2 network, everybody is pitching in to the Tier 2 Network naturally. This safety net alone is intended to take care of any shortfalls, and it will become more robust as more Funders join the WFC.

A 3rd safeguard pertains to the sale of leads from local services: some Leads coming through one project can also be sold through other related projects. Usually they must be sold at a discount, but sometimes they can be sold through multiple other groups. This allows us to have more than one income stream from individual leads. Again, it’s a safeguard that helps Capture additional revenue per lead, even if that lead was not able to be sold through the original channel at the time. This is another way to ensure that we are maximizing income across the leads, which helps us ensure that you get paid.

A 4th safeguard is that we can remote control all of the websites we create. In effect, if we find that we should add some more pages of content to a certain project to make it more competitive in its metro/industry area, it just takes days or even just hours for us to accomplish this.

A 5th safeguard is that we are vested ourselves, and transparently split the lead revenue with you. In other words, since we have the right to earn from these projects, we keep pushing harder to make them more profitable, and that creates 50% of the profits for you right along with us. You get to ride the wave of our ongoing efforts and improvements to benefit ourselves… and therefore benefit you, at the same time. This is the equivalent of you acting as an Angel Investor, for 50% of the profits that get generated through our efforts. You don’t have to do anything – you funded the project(s), and now it’s our job to drive the profitability of it/them.

A 6th safeguard is that we are able to increase the size/scale of your metro area(s), and/or give you one or more additional metro areas to earn from, in parallel.

There are other safeguards as well, but they are harder to describe. It’s just easier to explain that we have extremely modern website coding, contents that are audited to ensure they can rank on the front pages, and we are on very high-powered Amazon servers.

9. Supporting Project Personnel

We use any combination of Server Techs, QA’s, top quality Programmers and Copywriters (who oversee the output from GPT/LLM productions), and we have spent 15 years automating all of the facets of production so that nothing is expensive for us to control or fix or upgrade. That’s great news for you, because it certainly mitigates risk.

For example, a priority WFC project costs $15,000 . That buys a 10,000 webpage launch, where each webpage is worth ~$40 of custom programming + $70 worth of rankable content + $20 worth of unique images. But at this economy of scale, each webpage actually costs ~ $1.50. If each webpage averages just 2 visitors/month, that’s 20,000 visitors/month. A website like that is often worth $60,000 on a ‘Website Flip’, and yet only takes a few months to drive to that level.

Also, we rewrite through all of those webpages (or take other steps to improve the webpages) each month, to keep the pages fresh in Google’s eyes. (That’s already included in the payment for any Position.) Imagine how expensive it must be for the competition to keep up, when we barrel into their industry, in their metro areas, with this much force. Our webpages are often objectively better than most-to-all of the collective webpages that they have been creating in that area for the past 20-30 years.

And again, we are doing this with up to 87 industries in 100 metro areas, at the same time. The Tier 2 projects give us telltale signs as to low-hanging fruit to move any Funders into, if and whenever needed.

10. Position Adjustments

Website Marketing Solutions, LLC reserves the right to make strategic adjustments to participant positions to maximize project success. This may include changing the geographic or industry focus of a participant’s position based on performance data and market conditions.

11. Payment Schedule and Delays

Payments are scheduled to be processed weekly, after midnight Pacific Time on Sunday nights. If a payment is delayed due to vacations, sickness, holidays, or other unforeseen circumstances, the balance owed will be added to the following week’s payment. We commit to communicating any such delays promptly to all affected participants. When it comes time to consider putting the website up for sale (flip), we will coordinate with you to make those decisions.

12. Intellectual Property

All web content, systems, and processes developed by Website Marketing Solutions, LLC remain our intellectual property. Participants do not acquire ownership rights to any software, content, or other materials produced as part of their participation in the Website Funding Club (WFC).

13. Amendments to Terms

Website Marketing Solutions, LLC reserves the right to amend these terms and conditions at any time. All amendments will be communicated to participants and will take effect immediately unless otherwise stated.

14. Governing Law and Jurisdiction

This agreement shall be governed by and construed in accordance with the laws of the State of Washington, without regard to its conflict of law principles. All participants agree that any legal action or proceeding relating to their involvement with Website Marketing Solutions, LLC shall be brought forward exclusively in the courts of King County, Washington. Participants consent to the jurisdiction and venue in such courts.

15. No Guarantee of Profit

In the USA, only banks and the government are allowed to guarantee profits. Therefore, Website Marketing Solutions, LLC does not guarantee profits for any participant. The success of web projects and lead generation systems depends on many factors that are beyond our control. While we use advanced strategies and technologies to maximize potential returns, profits cannot be covered by an iron-clad guarantee. With that said, ultimately you are not investing -- rather, the websites you have us build are yours, but you are paying us half of your profits to manage and sell your website(s) for you.

16. Note on any Google Affiliation

Website Marketing Solutions, LLC is not directly affiliated with Google, nor do we possess insider information from Google. However, our expertise in the field of website development and search engine optimization spans more than 14 years at the time of the penning of these Terms, during which we have successfully navigated through all combinations of Google Algorithmic updates.

17. Powerful Automation/Efficiencies

Our automated systems are unlike anything we have ever seen or heard about. Our systems allow us to streamline high-quality work for each incremental expense, making our processes considerably faster and more competitive than perhaps any other website developers and marketers. This expertise and efficiency are integral to our approaches for risk mitigation and pressing for higher ROI for all of our participants.

18. Long-Term Commitment to Participants

Once you make a payment for any project, you are a member of the Website Flipping Club until we can satisfy a payout of at least 10 times your applied payment(s), regardless of how long that takes, for as long as the Website Flipping Club remains open and operational. This commitment reflects our dedication to your long-term success and our confidence in the robustness of our business model. It is our goal to not only meet but also exceed this target, demonstrating our commitment to your investment, along with your trust in our capabilities.

Terms of Use for the Digital Command Center Package


Welcome to the Digital Command Center Package provided by Website Marketing Solutions, LLC, a company registered in King County, Washington. These Terms of Use govern your access to and use of the Digital Command Center Package ("the Service").

Acceptance of Terms

By subscribing to or using the Service, you agree to be bound by these Terms of Use and acknowledge our Privacy Policy. If you do not agree with any part of these terms, you must not use the Service.

Service Description

The Digital Command Center Package offers an array of tools and services for website management and enhancement at a subscription rate of $2,500 per month or $25,000 per year. The Service includes:

  • Ultimate Remote Control System: Access to 81 tools for managing multiple websites.
  • Robust Infrastructure: Shared access to a dedicated AWS server.
  • Full-Service Web Establishment: Setup and management of domains.
  • End-to-End Assistance: Up to 20 hours of expert support per month.
  • Push-Button Creatives: Graphic design services included.

Subscription Terms

Payments: Subscription fees are billed monthly or annually. The selected payment cycle will continue unless canceled.

Refunds: Payments are non-refundable except as required by law.

Cancellation: You may cancel your subscription at any time. Cancellation will take effect at the end of the current billing cycle.

Use of Service

Permitted Uses: The Service is for your personal and commercial use, subject to these Terms.

Prohibitions: You may not intentionally attempt to reverse-engineer the software you are renting. You may not otherwise misuse the Service (meaning to use the Service in a way that is not intended), including but not limited to unauthorized access to our backend, sub-renting your account with others without the approval of WMS, or using the Service to create websites used partially or primarily to send spam.

Ownership and Rights

You retain ownership of all content created by you. However, you grant us a license to use, modify, and display the content as necessary for the provision of the Service.


The Service is provided with a commitment to privacy and confidentiality. We ensure that all your projects are handled without disclosure of your or your clients' information.

Limitations of Liability

Website Marketing Solutions, LLC is not liable for any direct, indirect, incidental, or consequential damages arising from your use of the Service.


These Terms of Use are governed by the laws of the State of Washington. Any disputes related to these terms will be subject to the exclusive jurisdiction of the courts of King County, Washington.

Changes to Terms

We reserve the right to modify these Terms at any time. Your continued use of the Service after any changes indicates your acceptance of the new Terms.

By subscribing to the Digital Command Center Package, you acknowledge that you have read, understood, and agree to be bound by these Terms of Use.
